terms of service

These Terms of Service ("Terms") govern your use of Neo — a personal AI assistant available through messaging platforms such as Telegram — and the website at 01labs.ai (collectively, the "Service"), operated by Zero One Laboratories, Inc. ("01labs", "we", "us", "our").

By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. eligibility

You must be at least 17 years old to use the Service. By using the Service, you confirm that you meet this requirement.

2. invites and your account

Access to the Service is currently by invitation. Invite codes are distributed by us and by creators we work with; each code may be limited in how many times it can be redeemed. We may limit, revoke, or reissue codes at our discretion.

Your account is tied to your messaging-platform identity. You are responsible for all activity that occurs through it, and you may not share account access with others. Each account provides a personal AI assistant with isolated memory and workspace.

3. subscriptions and billing

The Service is currently in invite-only early access, free of charge. Paid subscription plans are coming; we will give you at least 30 days' notice before any charge applies to your account. Once you subscribe to a paid plan, the following terms apply:

• Recurring billing. Subscriptions are billed monthly and renew automatically until cancelled. Payment is processed by Stripe; we never store your card details.
• Usage allowances. Plans may include usage allowances that govern how much your assistant can do in a billing cycle. When an allowance is exhausted, the Service may switch to a lighter AI model or pause heavier features until your allowance resets at the start of the next cycle.
• Plan changes. You may upgrade or downgrade at any time by asking your assistant or contacting hello@01labs.ai. Upgrades are prorated for the remainder of the current billing period.
• Cancellation. You may cancel at any time the same way. Your access continues until the end of the current billing period. No partial refunds are issued for unused time within a billing period.
• Refunds. Subscription fees are non-refundable except as required by applicable law. If you believe a charge was made in error, contact hello@01labs.ai.
• Price changes. We may adjust pricing with at least 30 days' notice. Existing subscribers are notified before any change takes effect.

4. acceptable use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law
• Attempt to access other users' data, conversations, or workspaces
• Attempt to extract, reverse-engineer, or compromise the Service's infrastructure
• Use the Service to create, store, or distribute content that is illegal, fraudulent, pornographic, or violates the rights of others
• Use the Service to harass, threaten, deceive, or scam any person
• Use the Service to send unsolicited bulk messages, spam, or automated mass requests to third-party services
• Abuse system resources (excessive process spawning, bulk scripting, deliberate resource exhaustion)

You are solely responsible for all content you create, upload, store, or distribute through the Service, including content generated by your assistant at your direction. We do not monitor or pre-screen user content and accept no liability for it.

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.

5. your content

You retain ownership of all content you send to the Service (messages, files, images, voice notes). We do not claim any ownership rights over your content. Your content is stored to provide the Service and is never used to train AI models.

6. creator skills

The Service includes skills and methods contributed by creators. These reflect the contributing creator's approach and are provided as part of the Service, not as personalized advice from the creator. Creators do not have access to your conversations or your data. A creator's participation in the Service is not an endorsement of any outcome, and outcomes shown in our marketing are illustrative.

7. scheduled tasks

Your assistant can perform scheduled tasks (reminders, recurring checks, routines) on your behalf. These run autonomously according to schedules you set. You are responsible for the tasks your assistant performs, including those that execute while you are not actively using the Service.

8. AI-generated content and what the service is not

Neo is a personal AI assistant. It is not a licensed therapist, doctor, lawyer, financial advisor, or any kind of regulated professional. It does not provide medical diagnoses, legal counsel, investment advice, or therapeutic treatment. Information and suggestions from your assistant are for general informational purposes only.

The Service uses third-party AI model providers to generate responses. AI-generated content may contain errors, inaccuracies, or inappropriate material. You are responsible for reviewing and verifying AI output before relying on it for decisions. For medical, legal, financial, or mental-health matters, consult a qualified professional.

9. data export and portability

You may request a full export of your data — conversation history, memory files, and any content your assistant has created — at any time by emailing privacy@01labs.ai. We provide it within 30 days.

10. privacy

Your use of the Service is also governed by our privacy policy. Each user has a fully isolated environment — no other user can access your data.

11. service availability

We aim to provide reliable service but do not guarantee uninterrupted availability. The Service may experience downtime for maintenance, upgrades, or unforeseen issues. We are not liable for losses resulting from service interruptions.

12. capacity and access

Access may be limited due to capacity constraints. We operate an invite system and grant access at our discretion. We reserve the right to limit, suspend, or modify access at any time.

13. termination

You may stop using the Service at any time and may request account deletion by telling your assistant or emailing privacy@01labs.ai. We may terminate or suspend your access for violations of these Terms, with or without notice. Upon termination, your data is retained for 30 days to allow recovery, after which it is permanently deleted unless you request earlier deletion.

14. limitation of liability

The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, accuracy of AI-generated content, or uninterrupted availability.

Zero One Laboratories, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

We are not responsible for the content you create, store, or share through the Service, nor for actions your assistant takes at your direction.

15. changes to terms

We may update these Terms from time to time. If we make material changes, we will notify you at least 30 days before they take effect — via a message from your assistant and/or email. Minor clarifications may be posted without advance notice. The "last updated" date above always reflects the current version. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

16. governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
